Artists' Signatures Terms and Conditions

For Artists' Signatures Art Research Service

This User Agreement ("Agreement") sets forth all the terms and conditions associated with your use of the services offered by or through ArtistsSignatures.com, LLC (as used herein, the terms “ArtistsSignatures”, "we" or "us" refer to ArtistsSignatures.com, LLC). The Terms and Conditions provided in this Agreement (the "Terms") apply to and govern your use of the ArtistsSignatures.com web site (the "Site") and any services or communications that may be provided by or registered with ArtistsSignatures through the Site by you (“Services”).

Online Acceptance and Continued Acceptance through Use of Services

Your online acceptance of this Agreement will have the same legal effect as if you were providing a handwritten signature of acceptance.

ArtistsSignatures reserves the right to change, modify, add or remove portions of these terms at any time, without notice to you. Your continued visitation of or use of our Site or Services following the posting of changes to these Terms will mean you accept those changes. You agree to review these Terms periodically to be aware of any changes.

Terms and Conditions

  1. Consent to Communications: By entering into this Agreement, you consent to the receipt of electronic mail ("e-mail") from ArtistsSignatures and customer service phone communication. In addition to sending you e-mail notifications as provided for above, ArtistsSignatures may also send you e-mails about services and products we believe may be of interest to you. You may opt out of future e-mails about products or services by contacting us by e-mail at Support@ArtistsSignatures.com. ArtistsSignatures reserves the right, however, to continue to contact you regarding important information relating to your account, or this Agreement.
  2. Usernames/Passwords: YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND YOU AGREE TO PAY FOR ALL SERVICES CHARGED TO YOUR ACCOUNT USING YOUR USERNAME AND PASSWORD WHETHER OR NOT YOU HAVE AUTHORIZED SUCH USE. If you believe that your Account, Username, and Password are being used in an unauthorized manner, you agree to contact ArtistsSignatures within one calendar day so that appropriate action can be taken to modify your Account. Please be aware that account information will be sent to the email address that you have provided to ARTISTSSIGNATURES.COM. Therefore, you should use a secure email address. ArtistsSignatures is not responsible for the actions of any person that accesses that email account. Please note that you are responsible for any and all charges to your account and that ArtistsSignatures cannot be held responsible for fraudulent charges that result from theft or fraudulent use of your credit card, or username and password.

    You may not transfer or assign any rights or obligations you have under this Agreement without ArtistsSignatures prior written consent. ArtistsSignatures reserves the right to transfer or assign this Agreement or any right or obligation under this Agreement at any time.
  3. Email Notification: You are responsible for maintaining a current and operational email address and for reading email from ArtistsSignatures so that we can notify you of updates to ArtistsSignatures's service and any customer account information.
  4. Automatic Renewal: By signing up for an automated billing program, you authorize ArtistsSignatures to make automated charges to your credit card or bank account at the end of each billing period. Each Account must be active for a minimum of 90 days (the promotional period) and cannot be deactivated/cancelled until after such date. User understands to cancel the monthly recurring payment they shall contact customer service 90 days after the promotional period has ended. An automated billing payment is a payment in which you provide an advance authorization to a merchant to charge your account directly on a regular, or sporadic basis. When you establish a automated billing payment with ArtistsSignatures, you are also entering into a billing agreement whereby you are authorizing ArtistsSignatures to charge your Credit Card, Bank Account or other types of payment you placed on file to be paid directly. Automated billing payments are sometimes called "subscriptions" or "preapproved payments". If you choose the automatic billing payment option you hereby agree to allow ArtistsSignatures to charge your account on a monthly or other periodic basis.
    • There is a recurring monthly fee of $9.95 ( Dealer/Institutional accounts may be more ) to use ArtistsSignatures. You agree to allow ArtistsSignatures to charge your Account every month in advance for fees that become due under this Agreement. In the event that ArtistsSignatures is unable to charge the monthly fee to your Account, ArtistsSignatures may terminate your use of the site. Payments are charged to the account placed on record and due within 30 days of the date that the monthly fee is due and you will remain obligated to pay ArtistsSignatures for any unpaid amounts. All monthly fees are non-refundable. If you have signed up for an Account pursuant to a promotional period or discounted amount, you agree to pay the recurring monthly fee as stated in this Agreement immediately upon the expiration of the promotional period or discounted amount offered by ArtistsSignatures.
  5. Billing Disputes: You must notify ArtistsSignatures by e-mail of any disputed charges within thirty (30) days of the charge being posted to your Account. ArtistsSignatures will attempt to resolve all disputes within thirty (30) days of being notified of a dispute. To the extent ArtistsSignatures determines, at its sole discretion, that a billing adjustment is warranted, your Account will be credited accordingly. If you fail to notify ArtistsSignatures of a billing dispute as noted above, you will waive all rights to bring any claim regarding the disputed charges.
  6. Billing Information: ArtistsSignatures does not send invoices to its customers. Instead, you have confidential access to your billing information - for the current month and the prior three months only - on the Website. You are responsible for printing out your monthly statements, and ArtistsSignatures will not provide monthly invoices other than those available online.
    • In the event a user may be due a refund from overpayment of the special services feature this refund shall be given as lifetime credits. These credits never expire.
  7. Ownership of Account: ArtistsSignatures recognizes that the person whose name is listed on the Account is the sole owner of the Account, even where payment on the Account is made using the credit card of a parent or other person. You authorize ArtistsSignatures, directly or through third parties, to make any inquiries we consider necessary to validate your identity.
  8. Cancellation: You may discontinue your membership in an automated billing program by notifying our support staff, through either our customer service form or E-mail. Support staff must be notified of your intentions to cancel at least five days before the end of your billing period. You will not be entitled to any refund of the unused balance in your account if you discontinue your account. Additionally, you will remain responsible for payment of all charges for services rendered up through the date you discontinue service.

Copyright Statement: © ArtistsSignatures and related words, domain names and logos, as well as all products, works, services, content, site design, text, graphics, and the selection and arrangement thereof in our website are trademarks and the property of ArtistsSignatures and/or John Castagno and are subject to Copyright © ArtistsSignatures.com, LLC and John Castagno. ALL RIGHTS RESERVED. You may download one (1) copy of content from the Site and Services for your personal informational use only, provided that you maintain all copyright, attribution and other notices contained in such content, including without limitation any trademarks and service marks of ArtistsSignatures or the copyright holder identified in the individual content's copyright notice. You may not copy, distribute, transmit, reproduce, publish, license, rewrite, create derivative works from, transfer, or sell any material contained on this Site or Services without the express prior consent of ArtistsSignatures or other applicable copyright owner. You may not modify, create derivative works from, participate in the transfer or sale of, post on the World Wide Web, or in any way exploit the Site or Services or any portion thereof for any public or commercial use without the express written permission of ArtistsSignatures or other applicable copyright owner. None of the material contained on the Site or Services may be reverse-engineered, disassembled, decompiled, transcribed, stored in a retrieval system, translated into any language or computer language, retransmitted in any form or by any means, including without limitation, electronic, mechanical, photoreproduction, recordation or otherwise, without the prior written consent of ArtistsSignatures. Any images of Signatures included in the Site or Services are provided for use only in the context of the Site or Services and subject to all of the limitations set forth herein. All rights not expressly granted herein are reserved to ArtistsSignatures. You acknowledge that you do not acquire any ownership rights by your permitted use of the website, its content or any Services. You may obtain more information on the copyrights, trademarks, and service marks of ArtistsSignatures or other applicable copyright owner(s) by viewing the copyright and trademark notices posted on the website or by contacting customer support. You agree to abide by any and all copyright notices, information or restrictions displayed on the Site and Services. You may not alter, modify or change these HTML logos in any way, use them in a manner that is disparaging to ArtistsSignatures or the Service or display them in any manner that implies ArtistsSignatures sponsorship or endorsement. You may use HTML logos provided by ArtistsSignatures through our merchant services or affiliate programs without prior written consent for the purpose of directing web traffic to the Service. You may not copy, imitate or use them without ArtistsSignatures’ prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of ArtistsSignatures. You are responsible to comply with all U.S. copyright laws, international conventions and laws, copyrights, trademarks, patents, licensing arrangements and other applicable laws or agreements. If you access the Site or Services from other locations outside of the U.S., you do so on your own initiative and are responsible for compliance with all local laws in addition to all U.S. laws and international conventions and laws, if and to the extent local laws are applicable.
  10. Limited Copyright Exception for Authorized Art Dealers: Only upon the express written consent of ArtistsSignatures, if you are engaged in the business of selling or facilitating the sale of physical paintings ("Artwork"), you may be granted a limited license to redistribute ArtistsSignatures content. Upon paying for access to ArtistsSignatures reference information and signatures examples ("Profile") pertaining to the original creator of the Artwork ("Artist") within the terms of this user Agreement, you may distribute a printed copy of the Artist Profile to the buyer of the Artwork. This Profile copy must be provided free of charge as a courtesy to the buyer. The printed copy of the Artist Profile must be reproduced verbatim containing all copyright notices, text, and images. The Profile copy must be provided to the buyer of the Artwork "AS IS" in accordance with the terms of this Agreement. You alone assume the cost of ensuring the authenticity of the Artwork to the buyer. Furthermore, the buyer of the Artwork is granted no rights to distribute the Profile copy. If the buyer wishes to resell the Artwork, they must also pay for access to the Artist Profile within the terms of this Agreement.
  11. Change to Site or Services / Termination by ArtistsSignatures: ArtistsSignatures shall have the right for any reason, in its sole discretion, to terminate, change, suspend or discontinue, temporarily or permanently, any aspect of the Site or Services, including but not limited to content, features, or hours of availability, without notice to you. ArtistsSignatures may also impose limits on certain features and services or restrict your access to parts or all of the Site or Services with or without notice or liability. You agree that ArtistsSignatures may terminate your use of this Site and the Services, cancel your user registration, remove your Communications and Contributions, and/or exercise any other remedy available to it, if ArtistsSignatures reasonably believes that you have violated or acted inconsistently with the letter or spirit of these Terms, or violated the rights of ArtistsSignatures or any third party, or for any reason with or without notice to you. You agree that ArtistsSignatures will not be held liable to you or any third party as a result thereof. ArtistsSignatures is not required to provide any refund to you if you are terminated as a user because you have violated these Terms.
  12. Restricted Uses: In connection with your use of our website, your Account, or the Services, or in the course of your interactions with ArtistsSignatures, a User or a third party, you will not:
    • Provide false, inaccurate or misleading Information;
    • Use an anonymizing proxy;
    • Infringe ArtistsSignatures's or any third party's copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy;
    • Breach this Agreement, the Card Processing Authorization, or any other Agreement that you have entered into with ArtistsSignatures;
    • Control an Account that is linked to another Account that has engaged in any of these Restricted Activities;
    • Disclose or distribute another User's Information to a third party, or use the Information for marketing purposes unless you receive the User's express consent to do so;
    • Violate any law, statute, ordinance, or regulation;
    • Refuse to cooperate in an investigation or provide confirmation of your identity or any Information you provide to us;
    • Take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
    • Act in a manner that is defamatory, trade libelous, unlawfully threatening or unlawfully harassing;
    • Facilitate any viruses, Trojan horses, worms or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or Information;
    • Use any robot, spider, other automatic device, or manual process to monitor or copy our website without our prior written permission;
    • Use unauthorized funds or Credit accounts to subscribe;
    • Use the Service to test credit card approvals;
    • Use any device, software or routine to bypass our robot exclusion headers, or interfere or attempt to interfere, with our website or the Services;
    • Take any action that may cause us to lose any of the services from our internet service providers, payment processors, or other suppliers;
  13. Arbitration / Statute of Limitations: All disputes, claims and/or controversies, including but not limited to billing disputes, matters of construction, interpretation and/or enforcement, arising out of or in any way connected to this Agreement shall be submitted for final and binding resolution to a single arbitrator selected in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Philadelphia, Pennsylvania. The award rendered by the arbitrator may be entered as a judgment in any court of competent jurisdiction. Any cause of action you may have with respect to ArtistsSignatures must be commenced within one year after the claim or cause of action arises or such claim or cause of action is barred.
  14. Indemnification: You agree to indemnify, defend and hold harmless ArtistsSignatures, and all its officers, directors, owners, agents, employees, content providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") from and against any and all claims, actions, losses, damages, liabilities, and all fees, costs and expenses of any kind related thereto (including without limitation, attorneys' fees and settlement amounts) incurred or suffered by the Indemnified Parties in connection with any claim arising out of, based upon or resulting from your use of the Site or ArtistsSignatures' services, or your transactions or communications with third-party vendors initiated via the Site. This indemnification provision applies to any attorney’s fees and costs incurred by the Indemnified Parties in connection with any arbitration, court proceedings or other legal disputes between the parties, including those initiated by you against any of the Indemnified Parties. The amounts recoverable under this provision shall be the greater of: (a) $1,000; (b) the actual amounts of all losses, damages, liabilities, attorney’s fees, costs and expenses incurred by the Indemnified Parties; or (c) the maximum amount recoverable under any applicable law.

    You agree to use counsel reasonably satisfactory to the Indemnified Parties to defend each indemnified claim or action. ArtistsSignatures reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event consent to the entry of any judgment or settle any claim, action or other matter without the prior written consent of ArtistsSignatures.
  15. No Waiver: No term or condition of this Agreement shall be held to be waived, modified or deleted except by a written instrument signed by the parties hereto. No waiver by either you or ArtistsSignatures of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
  16. Disclaimer: The materials contained on this web site are provided for general information and do not constitute any form of advice. ArtistsSignatures assumes no responsibility for the accuracy of any particular statement and accepts no liability for any loss or damage which may arise from reliance on the information contained on this site. Links to other web sites may at times be provided for your enjoyment, but ArtistsSignatures accepts no responsibility or liability for access to or the material on any web site which is linked from or to this web site. By providing links to other sites, ArtistsSignatures does not guarantee, approve or endorse the information or products available at those sites, nor does a link indicate any association with or endorsement of the linked site by ArtistsSignatures.
  17. NO WARRANTIES: THIS SITE AND MUCH OF ITS CONTENT ARE BEING PROVIDED TO YOU BASED ON NUMEROUS YEARS OF RESEARCH BY JOHN CASTAGNO, WORLD KNOWN ART SIGNATURE RESEARCHER, AND/OR HIS PREDECESSORS. HOWEVER DUE TO TE POSSSIBILITY OF HUMAN ERROR THIS INFORMATION IS BEING DELIVERED ON AN "AS IS" BASIS AND ARTISTSSIGNATURES MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THIS SITE OR ITS CONTENT. USER AGREES THAT ALL ACCESS AND USE OF THE SITE AND ITS CONTENTS IS AT USER'S OWN RISK. ARTISTSSIGNATURES DISCLAIMS ALL SUCH REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IF YOUR USE OF THIS SITE OR SERVICES RESULTS IN THE NEED FOR SERVICING OR REPLACING PROPERTY, MATERIAL, EQUIPMENT OR DATA, ARTISTSSIGNATURES IS NOT RESPONSIBLE FOR THOSE COSTS.

    IN NO EVENT SHALL ARTISTSSIGNATURES, ITS AFFILIATES, AGENTS, PRINCIPALS, OWNERS OR LICENSORS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR WEB SITE, OUR SERVICE, OR THIS AGREEMENT HOWEVER ARISING, INCLUDING NEGLIGENCE OR LOST BUSINESS, EVEN IF SUCH ENTITIES OR AN AUTHORIZED REPRESENTATIVE THEREOF HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ARTISTSSIGNATURES IS NOT LIABLE FOR ANY LOST DATA RESULTING FROM THE OPERATION OF OUR SITE, PROVISION OF SERVICES AND/OR THE ENFORCEMENT OF THE TERMS. WE URGE ALL USERS TO MAINTAIN THEIR OWN BACK UP VERSIONS OF ANY COMMUNICATIONS OR CONTRIBUTIONS THEY PROVIDE FOR SUBMISSION TO THE SITE OR SERVICES. IN NO EVENT SHALL THE TOTAL LIABILITY OF ARTISTSSIGNATURES, ITS AFFILIATES, AGENTS, PRINCIPALS, OWNERS OR LICENSORS TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY SERVICES EXCEED, IN THE AGGREGATE, $100.00.

    IF YOU ARE DISSATISFIED WITH THE SITE OR ANY SERVICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND/OR SERVICES.
    1. Notices to You: You agree that ArtistsSignatures may provide notice to you by posting it on our website, emailing it to the email address listed in your Account, or mailing it to the street address listed in your Account. Such notice shall be considered to be received by you within 24 hours of the time it is posted to our website or emailed to you unless we receive notice that the email was not delivered. If the notice is sent by mail, we will consider it to have been received by you three Business Days after it is sent. You may request a paper copy of any legally required disclosures and you may terminate your consent to receive required disclosures through electronic communications by contacting ArtistsSignatures. ArtistsSignatures may charge you a Records Request Fee to provide a paper copy. ArtistsSignatures reserves the right to close your Account if you withdraw your consent to receive electronic communications.
    2. Notices to ArtistsSignatures: Except as otherwise stated, notice to ArtistsSignatures must be sent to: ArtistSignatures, 16192 Coastal Highway, Lewes, DE 19958 by United States certified mail, return receipt requested or by other reputable delivery service requiring a delivery signature. Notice is effective upon delivery.
  19. Governing Law: This Agreement, and all modifications/amendments thereto, shall be governed by the law of the State of Pennsylvania, without giving effect to its conflicts of laws principles.
  20. Integration / Entire Agreement: This Agreement, together with any written amendments or modifications, constitutes the entire Agreement between you and ArtistsSignatures with respect to the services provided hereunder. It supersedes and replaces all prior or contemporaneous understandings or Agreements, written, electronic or oral, between you and ArtistsSignatures. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Severability: If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions will of this Agreement will continue in full force and effect.
